- Are at least 18 years of age;
- Have the legal capacity to enter into a binding contract;
- Are not barred from using the Platform under the laws of your jurisdiction;
- Will use the Platform in compliance with these Terms and all applicable laws.

3. Account Registration
To use most features, you must create an account.
- You must provide accurate, current, and complete information.
- You are responsible for keeping your password confidential and for all activity under your account.
- One person may hold only one account of each role type, unless we expressly permit otherwise.

- We may suspend or close accounts that contain false information or are used in violation of these Terms.
4. What the Platform Does
4.1 Information Platform Nature
Rebirthealth is an information platform and intermediary. It allows a person with a health question (a "Publisher") to describe their situation and receive written informational perspectives from independent third parties ("Advisors").
Rebirthealth does not provide medical, diagnostic, treatment, or healthcare services of any kind. It does not employ Advisors or control the content of their perspectives. No professional healthcare relationship is created through the Platform. This Section must be read together with the Medical Disclaimer.
4.2 Publishing Service Tiers
A Publisher may choose from different publishing tiers when posting a case. Tiers differ in features such as the inclusion of an automated information summary, display duration, the scale of advisor outreach, and optional review or consultation features.
- Tier names, prices, included features, and any service commitments are described on the Platform at the point of purchase and may be updated from time to time.
- Some tiers are paid. Fees are described in Section 7.
- Any service commitment associated with a tier (for example, a refund condition if a stated level of Advisor participation is not reached) is described at the point of purchase and in the Refund Policy.
`Rebirthealth offers four service tiers, selected each time a case is posted:
- Free Trial (¥0): Up to 50 advisors see your case and provide directional suggestions. No cost, zero risk.
- Small-Scale (¥99): Up to 200 advisors respond with specific proposals. Peer-review quality assurance included. Full rating report.
- Large-Scale (¥299, Recommended): Up to 1,000 advisors respond. Covers all four medical systems. Cross-border advisor collaboration. Priority matching with senior advisors.
- Global (¥999): All advisors respond with no limit. 50+ countries covered. Dedicated case coordinator. Follow-up support included.` Final tier names, prices, and feature lists to be inserted once confirmed. See SPEC 21.
4.3 Interaction Pool
When a case is published, eligible Advisors may view the (de-identified) case description and choose, at their own discretion, whether to submit a perspective. Rebirthealth does not require any Advisor to respond to any case and does not guarantee that any particular number of Advisors will respond, except where a specific service commitment is expressly stated for a paid tier.
4.4 Peer Review and Scoring
The Platform may allow Advisors to review and score one another's submitted perspectives. Peer scores are opinions of independent third parties. They are not verification, certification, or endorsement by Rebirthealth, and they are not a measure of medical accuracy or safety.
4.5 Blind Submission
For certain tiers, Advisor perspectives may be submitted on a blind basis (Advisors cannot see one another's submissions until a defined point). This is a process feature only and carries no representation about quality or outcome.
4.6 Automated (AI) Features
The Platform uses automated systems to organize, summarize, and present information, and to assist with matching. AI-generated output is an information-organization tool only. It is not advice of any kind, may contain errors, and must not be relied upon for any health decision. See the Medical Disclaimer.
5. User Roles
5.1 Publishers
A Publisher posts a case describing a health situation and may receive perspectives from Advisors. Publishers are responsible for the accuracy of the information they submit and for their own decisions.
5.2 Advisors
An Advisor is an independent third party who submits informational perspectives. Advisors are not employees, agents, or partners of Rebirthealth. Advisors are subject to a separate Advisor Agreement. Rebirthealth does not verify Advisor credentials and does not endorse any Advisor.
5.3 Promoters and KOLs
A Promoter shares referral links to the Platform and may earn commissions. A KOL is a Promoter accepted into a dedicated partner program. Promoters and KOLs are subject to a separate KOL/Promoter Agreement and to applicable advertising-disclosure laws.
6. Medical Disclaimer
The Medical Disclaimer is incorporated into these Terms in full. By agreeing to these Terms you also agree to the Medical Disclaimer. Rebirthealth is not a medical service, provides no medical advice, and creates no doctor-patient relationship. Always consult a licensed healthcare provider before making any health decision.
7. Fees and Payment
7.1 Service Fees
Certain features are paid, including but not limited to certain publishing tiers, the promoter toolkit, and Advisor onboarding. Applicable fees are displayed on the Platform before you commit to a purchase.
7.2 Currency
Fees may be charged in US dollars (USD) or Chinese yuan (CNY) depending on the version of the Platform and the payment method used. The applicable currency is shown at checkout.
7.3 Task Funds
Where a Publisher commits funds intended for an Advisor in connection with a case ("Task Funds"), the handling, release conditions, and any holding period for those funds are described on the Platform and in the Refund Policy.
`Payments are processed through Stripe. Refunds are returned via the original payment method used at the time of purchase.` Identity of payment processor(s) (e.g. Stripe, Alipay, WeChat Pay) and the exact flow of Task Funds to be confirmed and described accurately. The description must match the actual money flow.
7.4 Taxes
You are responsible for any taxes applicable to you arising from your use of the Platform, including any income tax on amounts you earn as an Advisor or Promoter. Advisors and Promoters may be required to provide tax documentation (such as Form W-9 or Form W-8BEN) where applicable.
7.5 Payment Authorization
By providing a payment method, you authorize us (and our payment processors) to charge the applicable fees. You represent that you are authorized to use the payment method provided.
8. Refunds
Refund eligibility is governed by the Refund Policy, which is incorporated into these Terms. Refunds, where available, relate only to platform service fees under the stated conditions. No refund is, or should be understood as, any form of guarantee regarding health information, outcomes, or the conduct of any Advisor.
9. User Conduct
9.1 General
You agree to use the Platform lawfully and in accordance with these Terms and the Acceptable Use Policy.
9.2 Prohibited Conduct
You must not:
- Provide false, misleading, or fraudulent information, including a false health situation;
- Use the Platform to seek information to harm yourself or others, or to obtain illegal goods or substances;
- Impersonate any person or misrepresent your identity, role, or qualifications;
- Use the Platform to practice medicine or any licensed profession unlawfully, or to direct any person to start, stop, or change a medication or treatment in a manner that constitutes a prohibited professional act;
- Make claims of guaranteed results, cure, or specific effectiveness regarding any health approach;
- Circumvent the Platform to transact privately with another User in order to avoid fees, where prohibited by the applicable role agreement;
- Post unlawful, infringing, harassing, hateful, or harmful content;
- Upload malware or attempt to compromise the Platform's security;
- Scrape, crawl, or harvest data through automated means without our written permission;
- Reverse engineer or attempt to derive source code from the Platform;
- Use the Platform in any way that violates applicable law.
9.3 No Unlicensed Practice
The Platform must not be used by any User to provide services that constitute the unlicensed practice of medicine, nursing, psychology, or any other regulated profession in any jurisdiction where the User or the recipient is located. Advisors are solely responsible for ensuring their own activity is lawful.
10. Content and Intellectual Property
10.1 Your Content
You retain ownership of the content you submit (case descriptions, perspectives, messages, and other materials — "User Content"). You are solely responsible for your User Content.
10.2 License You Grant to Us
You grant Rebirthealth a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and process your User Content solely for the purpose of operating, providing, securing, and improving the Platform, and as otherwise described in the Privacy Policy. This license ends when your User Content is deleted, except (a) for content already shared with others, and (b) for retained copies required by law or for legitimate backup and record-keeping.
10.3 Advisor Perspectives
Perspectives submitted by Advisors are the Advisor's content. The license and permitted use of perspectives, including the Publisher's right to use a perspective they have received, are addressed in the Advisor Agreement.
10.4 Platform Materials
The Platform itself — including its software, design, text, graphics, logos, and the "Rebirthealth" name and marks — is owned by or licensed to Beijing Lieyi Health Management Co., Ltd. (北京猎一健康管理有限公司) and is protected by intellectual property laws. You may not use our marks or materials without our prior written permission.
10.5 Feedback
If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.
11. Privacy
Your use of the Platform is subject to the Privacy Policy, which explains how we collect, use, share, and protect personal information, including sensitive health information, and which describes your rights under applicable data protection laws.
12. Disclaimers and Warranties
12.1 "As-Is" Service
To the maximum extent permitted by applicable law, the Platform is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
12.2 No Health Outcome Guarantee
We make no warranty or representation that any information, perspective, or content on the Platform is accurate, complete, safe, effective, or suitable for you, or that use of the Platform will produce any particular health result.
12.3 Third-Party Content and Conduct
We do not control and are not responsible for the content, perspectives, conduct, or qualifications of Advisors or other Users. Any reliance on such content or conduct is at your own risk.
12.4 Availability
We do not warrant that the Platform will be uninterrupted, secure, or error-free.
13. Limitation of Liability
To the maximum extent permitted by applicable law:
- Beijing Lieyi Health Management Co., Ltd. (北京猎一健康管理有限公司) and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses.
- Beijing Lieyi Health Management Co., Ltd. (北京猎一健康管理有限公司) and its officers, employees, and agents will not be liable for any personal injury, health harm, loss, or damage arising from or related to (a) your use of, or inability to use, the Platform; (b) any information, perspective, or content obtained through the Platform; (c) any action you take or decline to take based on such information; or (d) the conduct of any Advisor or other User.
- Our total aggregate liability for any and all claims relating to the Platform will not exceed the greater of (i) the total fees you paid to us in the twelve (12) months before the event giving rise to the claim, or (ii) the total amount paid by you to Rebirthealth in the twelve (12) months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, our liability is limited to the greatest extent permitted by law. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
14. Indemnification
To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless Beijing Lieyi Health Management Co., Ltd. (北京猎一健康管理有限公司) and its officers, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable legal fees) arising from (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms or any incorporated document; (d) your violation of any law or third-party right; or (e) your provision of, or reliance on, any health perspective.
15. Suspension and Termination
15.1 By You
You may stop using the Platform and close your account at any time.
15.2 By Us
We may suspend or terminate your access, with or without notice, if we reasonably believe you have violated these Terms or any incorporated document, if required by law, or to protect the Platform or other Users.
15.3 Effect and Survival
Upon termination, your right to use the Platform ends. Sections that by their nature should survive — including Sections 6, 10, 12, 13, 14, 16, and 17 — survive termination. Handling of your data after termination is described in the Privacy Policy.
16. Dispute Resolution; Arbitration; Class Action Waiver
⚠️ `` Arbitration enforceability, the chosen forum, and the class action waiver must be confirmed for each target jurisdiction. EU consumer law in particular restricts pre-dispute arbitration clauses against consumers. The clause below is drafted as a starting point and must be tailored — it may need to be disapplied or modified for consumers in certain jurisdictions.
16.1 Informal Resolution First
Before starting any formal proceeding, you agree to first contact us at legal@rebirthealth.com and attempt to resolve the dispute informally for at least thirty (30) days.
16.2 Binding Arbitration
If the dispute is not resolved informally, it will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules, in Wilmington, Delaware, United States, except where applicable law gives you a non-waivable right to bring the matter in court.
16.3 Class Action Waiver
To the extent permitted by applicable law, disputes will be resolved only on an individual basis, and not as a class, collective, or representative action.
16.4 Exceptions
Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief to protect intellectual property or platform security.
16.5 Consumer Rights Preserved
Nothing in this Section deprives you of the protection of mandatory consumer-protection provisions of the law of the country where you reside, where such provisions cannot be derogated from by agreement.
17. Governing Law
⚠️ `` Governing law must be chosen consistently with the actual operating entity. The operating entity is currently a PRC company (北京猎一健康管理有限公司). A governing-law choice of a US state (e.g. Delaware) is common for international platforms but its effect — and the interaction with PRC law and with mandatory consumer law abroad — must be confirmed by counsel.
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles, without regard to its conflict-of-laws rules, except that mandatory consumer-protection and data-protection laws of your country of residence continue to apply where they cannot be waived.
18. General
- Force Majeure. We are not liable for delay or failure caused by events beyond our reasonable control.
- Severability. If any provision is held unenforceable, the rest remains in effect.
- Entire Agreement. These Terms and the incorporated documents are the entire agreement between you and us regarding the Platform.
- No Waiver. Our failure to enforce any provision is not a waiver.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or transfer of assets.
- Notices. We may provide notices through the Platform or to your registered email. You may contact us at legal@rebirthealth.com.
- Language. If these Terms are provided in more than one language and there is a conflict, the English version controls, except where applicable law requires otherwise.
- Changes. We may modify these Terms. We will update the Effective Date and, for material changes, provide reasonable notice. Continued use after changes take effect constitutes acceptance.

⚠️ BLOCKING COMPLIANCE ISSUES — must be resolved, not just drafted around:
1. ICP operating licence. The platform charges users (¥99 / ¥299 / ¥999, toolkit fees, etc.). Under PRC law, paid "operational" internet information services generally require an ICP operating licence (经营性 ICP 许可证 / 增值电信业务经营许可证), not only an ICP filing (备案). The current filing on record is an ICP filing ("京ICP备2025132715号-1"). Operating paid services with only a filing may constitute unlicensed operation of a commercial internet information service. This should be resolved before charging users. Flagged here so it is not lost.
2. Business scope. The operating entity's registered scope is "健康咨询" (health consultancy). Whether this scope lawfully covers (a) operating a paid matching platform, (b) hosting traditional / folk / energy-based health perspectives, and (c) cross-border paid services to US/EU users, should be confirmed; a scope amendment may be required.
3. Unlicensed practice of medicine / health-fraud exposure (US & EU). A PRC entity offering, to paying US and EU consumers, health "perspectives" — including from non-evidence-based practices — carries real exposure under US state medical-practice laws, the FTC Act, and EU consumer law. A liability-isolating entity structure and counsel review are strongly advisable. This document's disclaimers reduce but do not eliminate this exposure.
4. Arbitration & governing law (Sections 16–17). Must be tailored per jurisdiction; EU consumer law restricts binding pre-dispute arbitration and certain governing-law choices against consumers.
5. Payment flow (Section 7.3). The description of Task Funds must precisely match the real money flow and the capabilities of the actual payment processor(s); inaccurate description creates both legal and payment-processor compliance risk.
This document is a DRAFT and is not a substitute for review by qualified legal counsel in China, the United States, and the European Union.
