KOL / Promoter Agreement

1. Introduction

This Agreement governs your participation as a "Promoter" or "KOL" (key opinion leader) on Rebirthealth. It is in addition to, and incorporates, the Terms of Service, Privacy Policy, Acceptable Use Policy, and Medical Disclaimer.

By registering as a Promoter, purchasing the promoter toolkit, or being accepted into the KOL program, you agree to this Agreement.

2. Roles

  • Promoter: any user who registers to share Rebirthealth referral links and may earn commissions.
  • KOL: a Promoter accepted by Rebirthealth into a dedicated partner program with additional features and commission terms.

Both are independent third parties. This Agreement does not create employment, partnership, agency, or a joint venture. You may not act on behalf of, or bind, Rebirthealth.

3. Registration and the Promoter Toolkit

  • Registering a Promoter account is free.
  • To access promotion features (such as a personal referral link, promotional materials, the analytics dashboard, and commission settlement), a Promoter purchases the promoter toolkit, a digital product. Its fee and refund treatment are described on the Platform and in the Refund Policy.
  • KOLs accepted into the partner program may receive the toolkit on the terms described for that program.

The toolkit is a software product. It is not an investment, a membership in a money-making scheme, or a stake of any kind. (See Section 9.)

4. KOL Application

KOL status is granted at Rebirthealth's discretion following an application and review. Application is free. Acceptance is not guaranteed. Rebirthealth may decline or revoke KOL status.

5. Commissions

5.1 How Commissions Work

A Promoter or KOL may earn a commission, expressed as a percentage, when a person they referred takes a qualifying paid action on the Platform.

`- Standard Promoter (free signup): 5% task commission + 50% report share on all referred tasks.
  • KOL Promoter (¥49 application fee): 10% task commission + 50% report share on all referred tasks, plus platform-featured profile and priority support.

Commissions are calculated based on the task fund paid by the referred user. Settlement is handled through the promoter dashboard.` Insert the confirmed commission structure as percentages (see SPEC 23). Do not state specific monetary amounts. Confirm: which actions are commissionable; the percentage for Promoters vs KOLs; and the rule that KOL task-related commission is higher than the standard Promoter rate.

5.2 Two-Level Only — No Multi-Level Structure

Commissions are limited to two levels only: a Promoter/KOL earns from qualifying actions of the people they directly refer. A Promoter/KOL does not earn from the downstream activity of other Promoters that their referrals may later become. Rebirthealth does not operate, and this Agreement does not create, a multi-level or pyramid commission structure.

5.3 Settlement

Commissions are calculated and settled as described on the Platform (for example, on a periodic cycle). You are responsible for providing accurate payout details.

5.4 Clawback

If a transaction that generated a commission is later refunded, reversed, charged back, or found to be fraudulent or in violation of these Terms, the corresponding commission may be deducted from your balance or reclaimed. Commissions arising from fraud or abuse are forfeited.

5.5 Taxes

You are solely responsible for all taxes on commissions you earn. You agree to provide tax documentation we reasonably request (for example, Form W-9 or Form W-8BEN) where applicable.

6. Advertising and Disclosure Rules

This Section is important. You agree that, in all promotion of Rebirthealth, you will:

  • Clearly disclose your relationship with Rebirthealth. Where you receive a commission or other benefit, you must disclose this in a clear and conspicuous way that complies with applicable law — for example, a clear "#ad," "#sponsored," or equivalent disclosure that is not hidden, in line with the US FTC Endorsement Guides and equivalent advertising rules in other jurisdictions, including China's advertising rules.
  • Not make false or misleading statements about Rebirthealth, its services, fees, safety, or results.
  • Not promise health outcomes. You must not state or imply that the Platform, or any Advisor or approach on it, will cure, treat, or guarantee any health result.
  • Not promise earnings. You must not state or imply guaranteed or typical earnings from becoming a Promoter, Advisor, or KOL.
  • Not promote to minors, and not target promotion at people under 18.
  • Not use spam, deceptive, or unlawful marketing of any kind.
  • Not present non-conventional approaches as proven medical treatment.

7. Brand Use

  • You may use the Rebirthealth name and approved materials only as permitted by the toolkit terms and any brand guidelines we provide.
  • You must not alter our logo or marks, create accounts or pages that impersonate Rebirthealth or appear to be official channels, or speak "as" Rebirthealth.
  • We may require you to correct or remove non-compliant promotional content.

8. Data

  • You may process referral and performance data only as permitted by the Platform and the Privacy Policy.
  • You must not scrape Platform data, collect other users' personal information improperly, or use Platform content or data to train AI models or build competing products.

9. No Investment; No Pyramid Scheme

You acknowledge that:

  • The promoter toolkit is a software product, not an investment;
  • Becoming a Promoter or KOL is not a business opportunity with promised returns;
  • Commissions depend on actual qualifying transactions and are two-level only (Section 5.2);
  • There is no recruitment-based or "head-count" compensation.

10. Disclaimers and Liability

To the maximum extent permitted by applicable law, Beijing Lieyi Health Management Co., Ltd. (北京猎一健康管理有限公司) is not liable for your promotional activity or its consequences. You are solely responsible for the lawfulness of your promotion.

11. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless Beijing Lieyi Health Management Co., Ltd. (北京猎一健康管理有限公司) and its officers, employees, and agents from any claim, loss, liability, or expense (including reasonable legal fees) arising from (a) your promotional activity; (b) your failure to make required disclosures; (c) your breach of this Agreement or any incorporated document; or (d) your violation of any law or third-party right.

12. Suspension and Termination

You may stop participating at any time. We may suspend or terminate your Promoter or KOL status, withhold or reclaim commissions arising from violations, and remove toolkit access, for breach of this Agreement or any incorporated document, or as required by law. Sections 5.4, 8, 9, 10, 11, and 13 survive termination.

13. Governing Law and Disputes

This Agreement is governed by, and disputes are resolved under, the same governing-law and dispute-resolution provisions as the Terms of Service.

14. Changes

We may update this Agreement. We will revise the Effective Date and provide notice of material changes. Continued participation after changes take effect constitutes acceptance.

PROMOTER / KOL ACKNOWLEDGMENT

By registering, you confirm that:

1. You have read and agree to this Agreement and all incorporated documents.

2. You are an independent third party, not an employee or agent of Rebirthealth.

3. You will clearly disclose your commissioned relationship in all promotion, as required by law.

4. You will not promise health outcomes or earnings, and will not promote to minors.

5. You understand commissions are two-level only and that this is not an investment or pyramid scheme.

6. You are at least 18 years old.

⚠️ ITEMS REQUIRING REVIEW:

1. Anti-pyramid-scheme law. A referral-commission program that charges Promoters an upfront fee (the toolkit) must be structured carefully. The draft mitigates this by: (a) free registration, (b) toolkit positioned as a genuine software product, (c) strict two-level cap, (d) no head-count compensation. Counsel (US FTC rules + China's prohibition on 传销/pyramid selling) should still review the live structure, because how it operates in practice — not just the wording — determines legality.

2. FTC Endorsement Guides + advertising law. Disclosure obligations are real and enforced. KOL onboarding materials should give concrete disclosure examples.

3. Commission terms. Keep as percentages only; confirm against SPEC 23 and the live product.

4. Tax reporting for commission payouts may create platform-side reporting obligations; confirm with a tax adviser.
