Advisor Agreement

1. Introduction

This Advisor Agreement ("Agreement") governs your participation as an "Advisor" on Rebirthealth. It is in addition to, and incorporates, the Terms of Service, Medical Disclaimer, Privacy Policy, and Acceptable Use Policy.

By registering as an Advisor or submitting any perspective, you agree to this Agreement.

2. Independent Status

You are an independent third party. This Agreement does not create an employment, partnership, agency, or joint-venture relationship between you and Beijing Lieyi Health Management Co., Ltd. (北京猎一健康管理有限公司). You are not authorized to act on behalf of, or bind, Rebirthealth. You are responsible for your own taxes, insurance, licenses, and compliance.

3. Nature of Your Participation

3.1 Informational Perspectives Only

You provide written informational perspectives in response to case descriptions. You do not, through the Platform, provide medical diagnosis or treatment, and you do not establish a doctor-patient or other licensed professional relationship with any Publisher. The Platform is an information service — see the Medical Disclaimer.

3.2 No Unlicensed Practice

You are solely responsible for ensuring that your activity on the Platform is lawful in every jurisdiction relevant to you and to the Publisher, and that it does not constitute the unlicensed practice of medicine, nursing, psychology, or any other regulated profession. You will not perform any act through the Platform that you are not legally permitted to perform.

3.3 Your Background and Qualifications

Any description of your background, training, experience, or area of practice is your own representation. You agree that it is accurate and not misleading. You acknowledge that:

  • Rebirthealth does not independently verify your qualifications;
  • Rebirthealth does not endorse or certify you;
  • You must not describe yourself in a way that falsely implies a license, registration, or credential you do not hold.

4. Your Obligations

You agree to:

  • Comply with this Agreement and all incorporated documents;
  • Provide perspectives honestly and in good faith;
  • Comply with the prohibited-phrasing and conduct rules in the Acceptable Use Policy, including not promising cures, guaranteed results, or specific effectiveness, and not telling a Publisher to stop or avoid care from a licensed healthcare provider;
  • Recommend, in connection with any approach you describe, that the Publisher consult a licensed healthcare provider;
  • Not issue prescriptions or instruct specific medication changes in any unlawful or unsafe manner;
  • Keep Publisher information confidential (Section 7);
  • Participate honestly in peer review and scoring, without manipulation;
  • Not circumvent the Platform to transact privately with a Publisher in order to avoid fees, and not include personal contact details in a perspective except as the Platform permits;
  • Not misuse the Platform, its data, or other users' content.

5. Peer Review

The Platform may ask you to review and score other Advisors' perspectives, and your perspectives may be reviewed and scored by other Advisors. You agree to participate honestly. Peer scores are opinions of independent third parties and are not certifications by Rebirthealth.

6. Fees, Commissions, and Payment

6.1 Onboarding Fee

Where an onboarding or review fee applies, it covers the review process. Its treatment is described in the Refund Policy.

6.2 Advisor Compensation

Where you are selected by a Publisher and complete agreed work, you may receive compensation. The basis, rate, deductions, holding periods, and payment timing are described on the Platform and may be updated from time to time.

`When an advisor's proposal is selected by a publisher and the task is completed:

1. The full task fund is held in escrow during the 30-day hold period.

2. After the hold period expires without dispute, funds are released to the advisor's platform wallet, minus the platform fee.

3. The advisor may withdraw funds from their platform wallet to their bank account at any time.

4. If a dispute is raised during the hold period, fund release is paused pending resolution.

Non-selected advisors receive no compensation for submitted proposals.` Insert the confirmed compensation structure (e.g. percentage of Task Funds, any platform fee, holding/cooling period). Must match the live product.

6.3 Taxes

You are solely responsible for all taxes on amounts you earn. You agree to provide tax documentation we reasonably request (for example, Form W-9 if you are a US person, or Form W-8BEN if you are a non-US person), where applicable.

7. Confidentiality

Publisher case information — including health information — is confidential. You agree to:

  • Use it only to provide perspectives through the Platform;
  • Not disclose, publish, screenshot, or share it outside the Platform;
  • Not use it for any purpose other than your participation on the Platform;
  • Comply with applicable data protection law in your handling of it.

This obligation survives termination of this Agreement.

8. Intellectual Property

You retain ownership of the perspectives you author. You grant Beijing Lieyi Health Management Co., Ltd. (北京猎一健康管理有限公司) a worldwide, non-exclusive, royalty-free license to host, store, display, and process your perspectives to operate the Platform, and you grant the Publisher who receives your perspective a license to use it for that Publisher's own personal, non-commercial purposes. You will not submit content that infringes the rights of others.

9. Disclaimers and Allocation of Responsibility

You acknowledge that you alone are responsible for the content of your perspectives and for the lawfulness of your activity. To the maximum extent permitted by applicable law, Beijing Lieyi Health Management Co., Ltd. (北京猎一健康管理有限公司) is not liable for your conduct or for any consequence of a perspective you provide.

10. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless Beijing Lieyi Health Management Co., Ltd. (北京猎一健康管理有限公司) and its officers, employees, and agents from any claim, loss, liability, or expense (including reasonable legal fees) arising from (a) your perspectives; (b) your breach of this Agreement or any incorporated document; (c) your violation of any law or third-party right; or (d) any claim that your activity constituted unlicensed professional practice.

11. Suspension and Termination

You may stop participating at any time. We may suspend or terminate your participation, with or without notice, for breach of this Agreement or any incorporated document, or as required by law, or to protect the Platform or its users. Sections 3, 7, 8, 9, 10, and 13 survive termination.

12. Non-Circumvention

During your participation and for 12 months afterward, you will not use information obtained through the Platform to solicit a Publisher to transact outside the Platform in order to avoid fees. ``

13. Governing Law and Disputes

This Agreement is governed by, and disputes are resolved under, the same governing-law and dispute-resolution provisions as the Terms of Service.

14. Changes

We may update this Agreement. We will revise the Effective Date and provide notice of material changes. Continued participation after changes take effect constitutes acceptance.

ADVISOR ACKNOWLEDGMENT

By registering as an Advisor, you confirm that:

1. You have read and agree to this Agreement and all incorporated documents.

2. You are an independent third party, not an employee or agent of Rebirthealth.

3. Your description of your background and qualifications is accurate and not misleading.

4. You are solely responsible for ensuring your activity is lawful and does not constitute unlicensed professional practice.

5. You will keep Publisher information confidential.

6. You are at least 18 years old.

⚠️ SIGNIFICANT RISK ITEMS:

1. Unlicensed practice exposure. The single largest risk for this platform. An Advisor practising a non-conventional approach who gives a paying US/EU Publisher health "perspectives" may be found to be practising medicine without a license. Section 3.2 and the indemnity allocate responsibility to the Advisor, but allocation between the Advisor and the platform does not bind a regulator or an injured third party. Counsel should advise on (a) whether a verification/credentialing step is needed, (b) whether certain practice types should be excluded from the US/EU-facing service, and (c) entity structuring to isolate liability.

2. "Independent contractor" classification. Calling Advisors independent does not make them so if the platform controls their work in practice. Misclassification risk should be reviewed for each relevant jurisdiction.

3. Compensation terms (6.2). Must match the live product and the Refund Policy.

4. Tax documentation. If the platform pays Advisors, US tax reporting obligations (e.g. 1099/1042-S) may arise; confirm with a tax adviser.
